Unincorporated business firms differ from traditional corporations in fundamental ways. State laws provide flexibility and specialized options that enable these entities to accomplish economic goals that are difficult or impossible to replicate through corporate law. This panel provides an opportunity to share cutting-edge and timely research in these areas. Suggested topics include the continued relevance of partnerships; current uses of LLCs, statutory business trusts, and limited partnerships; the tension between governance flexibility and the need for minimum investor protections; and social enterprise. We welcome contributions in these or related areas.
